CashWise Limited Power of Attorney
IMPORTANT: PLEASE READ CAREFULLY BEFORE PROCEEDING
This Limited Power of Attorney Agreement (“Agreement”) is a legally binding contract between CashWise Pte. Ltd., a Singapore registered corporation ("Agent"), and the user (“Company”), collectively referred to as the "Parties". By accessing or using the Application provided by CashWise, you agree to comply with and be bound by the terms and conditions of this Agreement.
WHEREAS, the Agent operates a SaaS platform which is utilized by the Company (“Application”);
WHEREAS, the Company maintains one or more accounts at various third-party financial institutions, as listed here, such accounts are also connected to the Application, collectively referred to as the "Designated Accounts";
WHEREAS, the Company desires to grant the Agent limited authority to manage and facilitate transactions on the Designated Accounts through the Application using Application Programming Interfaces (“APIs”) and/or manual operations; and
WHEREAS, the Parties have agreed to the terms and conditions set forth herein.
AGREEMENT
By clicking the "I AGREE" button or checking the box indicating your acceptance, you acknowledge and agree to the following:
Grant of Limited Authority: The Company grants the Agent a limited power of attorney to access data and facilitate deposit and withdrawal transactions on the Designated Accounts, exclusively through the Application using APIs and/or manual operations, as specified in this Agreement.
Duration: This limited power of attorney shall be effective from the date of your acceptance and shall continue in full force and effect until termination of Company’s account in the Application initiated by either party.
Limitations: The Agent's authority is exclusively limited to the actions specified by the Company within the Application with regard to accessing data and facilitating deposit and withdrawal transactions on the Designated Accounts.
Representations and Warranties: The Company represents and warrants that it has full legal authority to grant the limited power of attorney as described herein and will indemnify and hold the Agent harmless from any claims, liabilities, or losses arising out of the Agent's actions taken in accordance with this Agreement.
Termination: Either party may terminate this Agreement by providing written notice to the other party. Upon termination, the Agent's authority shall cease immediately.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Singapore.
By clicking the "I AGREE" button or checking the box indicating your acceptance, you acknowledge that you have read and understood the terms of this Agreement, and you agree to be bound by the terms and conditions of this Agreement, including the list of Designated Accounts, and you confirm that you have the authority to bind the corporation.
