CashWise Data Access and Data Usage Agreement
This Data Access and Data Usage Agreement ("Agreement") is a legally binding contract between CashWise Pte. Ltd., a Singapore registered corporation ("CashWise"), and the user ("Company"). By accessing or using the Application provided by CashWise, you agree to comply with and be bound by the terms and conditions of this Agreement.
1. Background
1.1 CashWise provides a software-as-a-service (SaaS) application ("Application") that enables Companies to access their data through third-party APIs and web interfaces ("Third-Party APIs").
2. Data Access and Data Usage
2.1 Subject to the terms and conditions of this Agreement, Company acknowledges and agrees to the following:
a. Data Access: Company's data is owned by Company, and Company grants CashWise access to this data through Third-Party APIs integrated with the Application.
b. Company and CashWise agree to use the data in compliance with all applicable laws, regulations, and any additional terms and policies provided by CashWise regarding data usage.
3. List of Third Parties
3.1 Company acknowledges and agrees that CashWise shall provide a list of third-party service providers ("Third Parties") with whom Company may share or access data through the Application or Third-Party APIs. The list of Third Parties shall be provided by CashWise here and shall be kept updated by CashWise from time to time as needed.
4. Data Ownership
4.1 Company retains full ownership rights to the data accessed and processed through the Application and Third-Party APIs. CashWise does not claim any ownership rights to Company's data.
5. Intellectual Property
5.1 Company acknowledges that all rights, title, and interest in and to the data and any modifications, improvements, or enhancements thereof, are and will remain the exclusive property of CashWise.
6. Fees and Payments
6.1 Any fees associated with data access or API usage shall be governed by a separate agreement or arrangement between Company and the Third Parties, if applicable.
7. Term and Termination
7.1 This Agreement shall commence upon Company's acceptance and shall continue until terminated by either party in accordance with its terms.
8. Indemnification
8.1 Company agrees to indemnify, defend, and hold CashWise harmless from any claims, losses, liabilities, damages, costs, and expenses arising out of or related to Company's use of the data or the Application in violation of this Agreement or applicable laws.
9. Confidentiality
9.1 Company agrees to keep all non-public information received from CashWise confidential and to use it only for the purposes of this Agreement.
10. Governing Law and Jurisdiction
10.1 This Agreement shall be governed by and construed in accordance with the laws of Singapore.
11. Entire Agreement
11.1 This Agreement constitutes the entire agreement between the Parties and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties.
By clicking "I Accept" or using the Application, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Data Access and Data Usage Agreement, including the list of Third Parties maintained by CashWise here and that you retain ownership rights to your data.
